Governance and Strategy Design

  • During the institutional diagnosis, CDS conducts a thorough evaluation of the company’s overall situation, covering all areas of relevance, to mention purpose, strategy, operating model, organization, operations, management, people, governance, etc.

    The institutional diagnosis has numerous benefits, mainly:

    • A third-party, factual, and objective description and assessment of the organization’s internal situation, including its strengths, core competences, challenges, and areas for improvement.

  • 1. Corporate Governance

    Based on the understanding of the corporate legacy and the corporate purpose, and using international and local benchmarks and best practices, CDS works with its clients to develop a supportive corporate governance framework that is customized to the clients’ specific needs, and which covers primarily:

    • The Board governance manual including role & scope of the Board; Board composition; tenure, responsibilities & remuneration of Board members; Board job descriptions; Board Code of Conduct

    • The Board committee charters

    • Policies & operating mechanisms for all interactions at Board level and between the Board and Executive Management

    • Authority Limits Matrix (ALM) from the Board to top management

    Clearly defined corporate governance charter and mechanisms are essential to ensure:

     Structured and productive interactions between shareholders, the Board, and senior executives, with a clear decision-making process

     Appropriate oversight, guidance and control over the organization

     Enhanced risk management and mitigation

     Initiation of a cultural change for enhanced internal cooperation, compliance, and performance

    2. Family Governance

    Based on the understanding of the desired family and corporate legacies of the Family, CDS works with the relevant stakeholders to:

    • Formalize the Family Charter, including but not limited to, the family mission, objectives, and values, the family governance policies and the family social responsibility statement.

    • Establish the family governance mechanisms, covering: Family governance bodies, Family Committees, and the interactions between the Family and the Business.

    Clearly defined family governance mechanisms are essential to ensure that the interactions between the Family and the business are clearly defined and respected with the Family being at the service of the business, and that the increasing challenges and complexities the Family typically brings to a business are well managed and addressed.

Operational Improvement & Organizational Restructuring

  • CDS helps corporate clients define the most appropriate role and scope for their Corporate Center and, by using various analytical tools, identify the candidate functions / activities that could be centralized (shared) at the corporate center.. For each function / activity, CDS conducts additional analyses covering all relevant parameters, thus allowing to define the optimal extent of centralization (i.e. to fully centralize vs. centralize – delocalize vs. fully decentralize). Accordingly, the interactions between the Corporate Center and the operating companies/ business units and among the latter entities are clearly defined.

    Typically, this also covers the identification of relevant key performance indicators (KPIs) and the establishment of service level agreements (SLAs), supported by an authority limits matrix (ALM).

    Numerous benefits can result from the establishment of a corporate center:

  • CDS designs organizational models that best serve a company’s operations while optimizing its client experience and its cost structure.

    Depending on the functional scope of the client organization, its portfolio of products & services, the market segments it serves, and its geographical reach, CDS makes recommendations regarding the most appropriate type of organization structure (by function, by product line, by market segment, by region, or a mix of them).

    Accordingly, CDS details the client’s organization structure and develop the corresponding titles, reporting lines, and job descriptions, including job purpose, roles, responsibilities, accountabilities and required skills, experience, and qualifications.

    A well designed organization is important to ensure that the structure is at the service of the company’s operations, that roles & responsibilities are optimally allocated, and that accountabilities are reinforced.

  • CDS has developed a unique and extensive experience in designing optimized and implementable operating systems for clients’ core and support functions.

    Operating systems are developed based on CDS proprietary approach which involves the concerned internal stakeholders and as needed the relevant external stakeholders, and uses various inputs, including the company strategy and objectives, existing process maturity, the requirements of process clients, internal and external best practices, as well as the organization's IT & people constraints and capabilities.

    Operating systems include, as applicable: principles, business policies, standard operating procedures (SOPs) generally presented in flow charts, standard forms, key performance indicators (KPIs) service level agreements (SLAs), authority distribution, as well as automation and implementation requirements.

  • CDS works with its clients to set up a cost optimization roadmap that captures all cost optimization opportunities and details the tasks and actions required to exploit them.

    The roadmap is devised based on a thorough assessment of the general cost structure covering the company’s financial situation and value chain, as well as the detailed analysis of cost drivers and the identification and prioritization of cost optimization opportunities spanning from tactical to high-level strategic initiatives. This can result in enhanced profitability, optimized resource allocation, more informed decision-making driven by data and analytics, and enhanced competitiveness.

  • Based on a detailed identification of all financial and non-financial performance indicators (at the level of strategy, operations, organization, etc.), CDS assists clients in defining the management dashboards for each level and part of the organization. At the most detailed level, this includes a comprehensive list of KPIs, as well as their respective targets, based on which the organization performance can be assessed and benchmarked.

    CDS also works with its clients to define the dashboard production and distribution rules & guidelines. .

  • CDS helps its clients put in place best practices for attracting, developing, and retaining talent, which address the client organization’s requirements while meeting individual ambitions and development needs. The Talent Management systems that CDS develops are adjusted to the client industry's requirements and the organization's level of maturity. These systems typically cover strategic talent planning, recruitment, training, performance management, career development, succession planning, and employee retention.

  • CDS supports clients in defining policies and procedures which ensure that all administrative activities related to employees are handled efficiently and in compliance with local labor law. These include: payroll, personnel administration, grievance and disciplinary actions, end of service, government relations, and when applicable travel management and facilities maintenance. Program Execution

  • The CDS approach is designed to facilitate implementation by involving key managers and staff during the solution development phase so that their understanding of key challenges and of the need to change are enhanced. We enjoy giving the client teams paternity of all solutions developed; and is generally a facilitator for successful implementation.

    In every client assignment, we strive to identify quick wins that raise the credibility of the project and the team executing it, enhance endorsement of the change process, and energize the change process.

    CDS provides its clients support in setting up a Project Management Office (PMO) responsible for the timely and successful implementation of the company's internal projects, roadmaps, and/or initiatives, including all solutions designed by CDS.

    As such, CDS defines the PMO's operating processes and mechanisms of work, as well as its structure, reporting lines, and job descriptions, and assists the client in staffing it.

  • In addition to setting up the Project Management Office (PMO), its operating processes, and mechanism of work, CDS is often asked to lead the PMO on behalf of the client and gradually hand over its management to the concerned persons within the organization. This creates a momentum of change within the company and provides support, training, and coaching to the client on how to effectively manage a PMO.

    In some other cases, CDS is asked to be a member of the PMO, acting as a valuable resource to the PMO internal leadership and team.

    We are also called for implementation reviews, to validate execution progress and, of equal significance, to ensure that there is compliance with implemented solutions.

    A well-established PMO integrated in the client organization, with adequate execution timeline, champions, approach, and discipline, ensures timely and successful execution with the quality expected. It also facilitates compliance with implemented solutions.
